1. Acceptance of Terms

Welcome to Ezy Gym.

These Terms & Conditions ("Terms") govern access to and use of Ezy Gym, a cloud-based gym and fitness management platform operated by 3MPSTUDIO ("Ezy Gym," "we," "us," or "our").

Our Services are accessible through:

By creating an account, purchasing a subscription, or using the Services, you agree to these Terms and our Privacy Policy at https://ezygymapp.com/privacy.

If you use Ezy Gym on behalf of a business or organization, you represent that you are authorized to accept these Terms on its behalf.

If you do not agree, you must not use the Services.

2. Description of Services

Ezy Gym provides subscription-based software tools to help eligible organizations manage their operations.

Depending on the subscription plan and available features, these tools may include:

• Member and membership management.
• Membership plans and enrollment.
• Class schedules and bookings.
• Attendance and check-in tracking.
• Staff and instructor management.
• Reporting and data exports.
• Administrative and billing tools.
• Homeschool physical education program management.

Features may vary by subscription plan, account type, geographic availability, and development status.

We may introduce, modify, or discontinue features as the Platform evolves. Where a material change substantially affects paid functionality, we will provide notice as required by applicable law.

Ezy Gym is a software service. We do not independently operate the gyms, fitness classes, or homeschool PE programs managed through the Platform.

3. Eligibility and Accounts

You must be at least 18 years old and legally capable of entering into a binding agreement to register as an Ezy Gym business account owner.

You agree to:

• Provide accurate registration and business information.
• Keep your account details current.
• Protect your login credentials.
• Use the Platform only for lawful purposes.
• Assign appropriate permissions to your staff and authorized users.
• Notify us promptly of suspected unauthorized access.

You are responsible for activities performed through your account to the extent permitted by applicable law.

We may suspend or restrict accounts used fraudulently, unlawfully, or in violation of these Terms.

4. Subscription Plans and Pricing

Ezy Gym offers subscription plans with different pricing, limits, and features.

As of this initial draft, the standard subscription offerings are:

Prices shown are in U.S. dollars and exclude applicable taxes unless otherwise indicated.

The annual subscription is billed as a single annual payment, not as monthly installments.

Ezy Gym may display and charge prices in supported local currencies through Stripe's currency-localization features.

The final price, currency, taxes, and applicable charges will be displayed during checkout.

We may change subscription prices or plan offerings. Price changes affecting existing subscriptions will be communicated in advance where required by applicable law.

Plan Limits

Ezy Gym Starter currently supports up to 100 members per participating gym account.

Ezy Gym Pro provides unlimited members under the plan's published terms, subject to reasonable technical, security, and acceptable-use limitations.

The Homeschool PE plan is available only to organizations approved for that account type by Ezy Gym.

We may apply additional reasonable usage restrictions to prevent abuse or protect service reliability.

5. Free Trials

Eligible new subscriptions may include a seven-day free trial.

During the trial, users may access features associated with the selected plan, subject to applicable limitations.

Trial eligibility may be restricted to prevent repeated or abusive use.

If a payment method is collected for a trial that automatically converts to a paid subscription, the checkout or enrollment process will disclose the applicable billing terms and renewal arrangements.

Users should cancel before the trial ends if they do not wish to continue with a paid subscription.

We may modify or discontinue trial offers for future subscriptions.

6. Payments and Automatic Renewals

Subscription payments are processed through Stripe or another payment processor that we may designate.

By purchasing a recurring subscription, you authorize the applicable recurring charges disclosed during checkout.

Monthly subscriptions generally renew each month.

Annual subscriptions generally renew each year.

Unless canceled before the applicable renewal date, subscriptions automatically renew for the selected billing period.

The amount charged may include applicable taxes and currency-related adjustments disclosed through checkout or required by law.

You are responsible for maintaining a valid payment method.

We may provide billing notices, renewal reminders, or other subscription communications as required by law.

7. Subscription Changes

You may request a change between available subscription plans or billing intervals through supported account settings.

Certain changes may take effect immediately, while others may become effective at the end of the current billing period.

When supported, an immediate change may result in prorated charges or credits calculated through Stripe.

Annual-to-monthly changes may be scheduled to take effect after the existing annual subscription period ends.

Any applicable adjustment will be presented through the subscription-management process.

8. Cancellation

You may cancel your Ezy Gym subscription through available account billing settings or by contacting support@3mpstudio.com.

Unless otherwise stated during checkout or required by law:

• Cancellation prevents future automatic renewals.
• Access to paid features generally continues through the end of the current paid billing period.
• Cancellation does not automatically generate a refund for unused subscription time.
• Subscription cancellation does not necessarily result in immediate deletion of organizational data.

After the paid period expires, account functionality may be restricted or disabled.

Data retention and deletion are governed by our Privacy Policy and applicable legal requirements.

9. Refund Policy

Except where required by applicable law or expressly stated in a separate written offer, subscription payments are generally nonrefundable.

This includes payments for:

• Monthly subscription periods already started.
• Annual subscription periods already started.
• Unused subscription time following voluntary cancellation.

We may review billing errors, duplicate charges, or exceptional circumstances individually.

Nothing in this section limits nonwaivable consumer or statutory rights.

10. Homeschool PE Partner Program

Ezy Gym may provide specialized functionality and subscription pricing to approved homeschool physical education providers.

Eligibility is determined by 3MPSTUDIO.

The Homeschool PE plan is intended for legitimate physical education, fitness, or related instructional programs and is not a general-purpose academic school management subscription.

Approved organizations are responsible for:

• Maintaining accurate student and guardian information.
• Ensuring that authorized guardians have appropriate access.
• Obtaining required permissions and consents.
• Complying with applicable child protection, privacy, and educational requirements.
• Supervising students and conducting programs safely.
• Managing instructors and staff.
• Maintaining any legally required insurance, licenses, certifications, or approvals.

Ezy Gym provides administrative software and does not independently supervise children, deliver physical education instruction, or guarantee the safety or quality of participating programs.

Student and guardian features may be introduced in phases and may not be available until the relevant security, privacy, and consent processes are completed.

We may suspend specialized plan eligibility where an organization no longer meets program requirements.

11. Member, Student, and Guardian Information

Participating organizations are responsible for the accuracy and lawful collection of information they submit to Ezy Gym.

They must provide appropriate privacy notices and obtain necessary permissions or consents from members, guardians, and other individuals.

Where Ezy Gym processes information on behalf of an organization, the organization remains responsible for its own legal obligations concerning that information.

Organizations must not upload sensitive personal information that is unnecessary for the available Services or prohibited by applicable law or our instructions.

Ezy Gym's processing of personal information is further described in our Privacy Policy.

Additional rules for children's information will be described in our Children's Privacy Notice before the applicable student features are made available for real-world use.

12. Prohibited Activities

You agree not to:

1. Use Ezy Gym for unlawful, fraudulent, or deceptive purposes.
2. Attempt unauthorized access to other accounts, organizations, or data.
3. Interfere with the security or operation of the Platform.
4. Introduce malware or harmful code.
5. Scrape, copy, reverse engineer, or exploit the Platform except as permitted by applicable law.
6. Resell or sublicense the Services without written authorization.
7. Circumvent subscription limits, payment requirements, or access controls.
8. Upload information without appropriate authorization.
9. Misrepresent your eligibility for a specialized subscription plan.
10. Use the Services in a manner that infringes the rights of others.

We may investigate suspected violations and take reasonable corrective action.

13. Intellectual Property

Ezy Gym, including its software, interface, branding, designs, and original content, is owned by or licensed to 3MPSTUDIO.

We grant authorized subscribers a limited, nonexclusive, nontransferable right to access and use the Services during their subscription, subject to these Terms.

You may not reproduce, distribute, commercially exploit, or create unauthorized derivative works of the Platform.

Organizations retain their rights in information and content they lawfully submit to Ezy Gym.

You grant us the limited rights necessary to host, process, transmit, and display that information to provide the Services and fulfill our legal obligations.

14. Service Availability and Maintenance

We aim to provide a reliable and accessible Platform but do not guarantee uninterrupted or error-free operation.

Services may be temporarily unavailable due to:

• Scheduled maintenance.
• Hosting or infrastructure interruptions.
• Payment processor outages.
• Security incidents.
• Technical failures.
• Events beyond our reasonable control.

We may perform maintenance, updates, and security improvements as needed.

We will make reasonable efforts to communicate significant service disruptions when practicable.

15. Data Retention Following Termination

3MPSTUDIO generally retains personal information for as long as an account or participating organization remains active on Ezy Gym.

Following termination of an account or organization, we aim to delete or de-identify associated personal information within 30 days, except where longer retention is necessary for legal compliance, financial recordkeeping, security, dispute resolution, or other lawful purposes.

Certain information, including transaction records, consent records, and legally required audit information, may be retained for a longer period.

Information stored in backups may remain for a limited additional period according to applicable backup retention procedures.

Requests for deletion may be submitted to support@3mpstudio.com and will be handled according to applicable law and verified account authority.

16. Third-Party Services

Ezy Gym uses third-party infrastructure and service providers, including Lovable for current platform hosting and Stripe for payment processing.

These services may be subject to their own terms, privacy policies, and availability conditions.

We are not responsible for independent third-party products or services beyond our obligations under applicable law.

17. Disclaimer of Warranties

To the maximum extent permitted by applicable law, Ezy Gym is provided on an "as available" and "as is" basis.

We disclaim implied warranties of merchantability, fitness for a particular purpose, and noninfringement to the extent such disclaimers are legally permitted.

We do not warrant that the Services will meet every business requirement or operate without interruption.

Ezy Gym is not a medical, legal, accounting, or professional educational advisory service.

Nothing in these Terms excludes warranties or rights that cannot lawfully be excluded.

18. Limitation of Liability

To the maximum extent permitted by applicable law, 3MPSTUDIO will not be liable for indirect, incidental, special, consequential, or punitive damages, including lost profits, lost business opportunities, or loss of data, arising from use of the Services.

To the extent permitted by law, our aggregate liability for claims relating to the Services will not exceed the subscription fees paid to 3MPSTUDIO by the affected subscriber during the 12 months preceding the event giving rise to the claim.

These limitations do not apply where prohibited by law and do not exclude liability that cannot legally be limited.

19. Responsibility for Gym and Program Operations

Each participating organization is independently responsible for its physical facilities, employees, instructors, members, participants, and programs.

Ezy Gym does not assume responsibility for:

• Physical injuries occurring at participating facilities or programs.
• Fitness instruction or exercise recommendations provided by organizations.
• Facility maintenance or equipment safety.
• Employee or instructor qualifications.
• Compliance with local operational requirements.
• Disputes between organizations and their members or guardians.

These provisions do not limit responsibility that cannot legally be excluded.

20. Indemnification

To the extent permitted by applicable law, business subscribers agree to indemnify and hold harmless 3MPSTUDIO from third-party claims, damages, and reasonable expenses arising from their unlawful operation of a gym or program, unauthorized submission of information, or material violation of these Terms.

This obligation does not apply to the extent a claim results from 3MPSTUDIO's own unlawful conduct or other liability that cannot legally be excluded.

21. Suspension and Termination

We may suspend or terminate access where reasonably necessary due to:

• Material violations of these Terms.
• Fraud or suspected unauthorized activity.
• Nonpayment of subscription fees.
• Security threats.
• Applicable legal requirements.

Where appropriate and reasonably practicable, we may provide notice and an opportunity to resolve the issue.

Users may discontinue use and cancel their subscriptions according to the cancellation provisions above.

Termination does not eliminate obligations that reasonably survive termination, including unpaid charges, intellectual property protections, and applicable liability provisions.

22. Governing Law and Disputes

These Terms are governed by the laws of the State of Texas, United States, without regard to conflict-of-law principles, except where mandatory applicable law requires otherwise.

Subject to applicable law, disputes arising from these Terms will be brought before courts of competent jurisdiction in Texas.

Nothing in these Terms removes nonwaivable legal protections available to users in their jurisdictions.

Before initiating formal proceedings, parties are encouraged to contact support@3mpstudio.com to seek an informal resolution.

23. Changes to These Terms

We may update these Terms as Ezy Gym develops or as business and legal requirements change.

The revised version will be published with an updated effective or revision date.

For material changes, we will provide additional notice when required by law.

Where legally required, we will obtain affirmative acceptance before applying revised terms.

Continued use of the Services after an effective update may constitute acceptance where permitted by law.

24. General Provisions

If any provision is found unenforceable, the remaining provisions will continue in effect to the extent permitted by law.

Our failure to enforce a provision does not waive our right to enforce it later.

You may not transfer your subscription or contractual rights without our prior written consent, except as required by law.

These Terms, together with applicable subscription disclosures, the Privacy Policy, and any expressly incorporated agreements, constitute the agreement governing your use of Ezy Gym.
